Victoria, Cuero, and Port Lavaca are different occupational maps. A city license is not a Calhoun receipt. Pull every letter before you list. A Victoria qualifier does not cover Port Lavaca because the buyer already works Calhoun. Plant vendor lists, hospital credentialing, and any TCEQ or flood language belong in week one of diligence.

Industrial pads can carry air-permit, wastewater, and remaining petrochem language a Navarro landlord never wrote. Ranch-adjacent books can carry water and ag-exemption texture. Hurricane deductibles are an operating fact. Prepare with the sale-prep roadmap: split plant-adjacent staffing and fabrication, highway logistics, medical panels, and neighborhood trades before you pick a number.

How a Crossroads deal actually gets paid

Cash-at-close is easiest on a documented Cuero HVAC route that already opens without the founder. Buyers still haircut a one-person turnaround-dispatch job.

Earn-outs show up when one Formosa-adjacent PO, one turnaround year, or one 3PL is a double-digit share. The local reason is the outage calendar: a buyer will not pay a stacked construction-phase year as perpetual volume. Write the earn-out around steady-state maintenance.

Seller financing is common when the plant badge, a TCEQ file, or a two-county license map is the long pole. Holdbacks belong on receivable quality and any open environmental item. A founder who still holds the only outage relationship has not handed the Calhoun or Guadalupe vendor number to anyone else.
