Sell a Business in Tallahassee, Florida

How the capital-region businesses actually trade — state government, FSU and FAMU, session seasonality, and a buyer pool that is not a Gulf tourism multiple.

Tallahassee is a capital-and-campus city. The state of Florida, Florida State, Florida A&M, and the weekday government-and-university payroll are the facts. Session months are a second P&L for downtown food and some professional books. The Gulf is more than an hour away. Price a Monroe Street lunch room as if it were a Destin beach club and you will use the wrong multiple.

This page is for owners and buyers in Leon County and for files that already pull from the immediate capital region. We do not publish a thin page for every panhandle crossroads. If the file is Navy aviation on the Gulf, start with Pensacola. If it is UF and Shands, start with Gainesville.

Market position — the capitol, two universities, a quieter August

State government is the durable payroll. That supports staffing, consulting, accounting, law, and vendors who already know how a contract and a legislative calendar work. A book that is really the founder’s one committee relationship is personal goodwill. A book with a second person who can renew the work is a firm.

FSU and FAMU add students, sports, and a campus-edge food-and-retail overlay. Home games and move-in are not a run rate. Summer is quieter than Gainesville’s hospital floor and quieter than a South Florida winter. Show it.

Healthcare — medical, dental — follows residents, students, and state workers. It is not a snowbird market.

Downtown, Midtown, and the Parkway / Killearn residential nodes are different rents and different tickets. Southwood and the southeast growth box are a newer HOA-and-service story.

Tallahassee is inland. Wind is real. Gulf flood is not the first slide unless you actually have coastal product — most files here do not.

What actually trades in the capital

Professional and government-adjacent services are the distinctive product. Transferability is the staff and the contract language, not the founder’s parking pass at the capitol.

Two campuses and the state mean credentialing and insurance requirements that a Gulf restaurant never sees.

Leon occupational licenses and Florida DBPR sit on their own desks. Qualifying agents do not automatically transfer.

Labor includes students and session staff who leave. Year-round hospital and state-career labor is a different band.

Prepare with the sale-prep roadmap. Split capitol vs campus vs residential before you pick a number.

How these files actually price

A downtown professional or government-adjacent book is assignment language first. If the work is personal to the founder’s committee relationships, you do not have a transferable system yet. A campus restaurant or catering room is a semester P&L — isolate football and session. A Southwood HVAC or landscape route is density and a lead-tech wage. Those three credits do not share a multiple.

Earn-outs show up when one agency or one university department is a double-digit share. Seller financing is common when the book is still personal. We will not apply a Gainesville Shands multiple or a Gulf tourism multiple to the capital. Session is a spike, not a floor.

If the founder still renews every contract and works every Saturday in October, you are selling a job until a second person is on the schedule. Put that wage in the model now. FAMU and FSU are two campuses with two calendars. A College Town Saturday is not a Southwood Tuesday. Sine die is a date, not a valuation method. Agency work that fails a change-of-control clause is not an asset until counsel says it assigns. Downtown catering that only works during session is a spike. Residential routes in the northeast nodes are a flatter file. Split those before you pick a number. State-career labor stays in July. Student labor does not. A buyer who models a Gulf tourism multiple on a capitol book will break the file before they read a contract. Protest language on a state contract is week-one counsel, not a footnote.

Preparing a Tallahassee file

A year out, decide whether you are selling a professional book, a campus room, or a residential route. Introduce a second person the clients will call when the founder is in session or on break. Get assignment language on any state or university work.

Six months out, show monthly sales against session, football, and summer. Pull licenses and any contract renewal dates that sit inside the first year after close.

In 2026 most owner-operated Leon shops still price on SDE. A professional firm with a second rainmaker or a multi-site campus food group can open EBITDA. We will not apply a session spike to a twelve-month P&L. Transition is local: the contract assignment, the Tuesday after sine die, and the campus-edge lease have to survive the handoff. Legislative and agency labor stay in summer. Student labor does not.

A buyer who only walked College Town on a Saturday in October will misprice a Southwood route and a downtown government-adjacent book in the same afternoon. We keep those files split. This is a capital and two universities, not a visitor machine.
