Hennepin County Hall and Ramsey County Hall sit eight miles apart and underwrite two different downtowns. Downtown Minneapolis is corporate. Downtown Saint Paul is capitol-adjacent and a flatter occupancy. MSP already sorts cargo. I-494 moves Bloomington and the Mall of America box. Target and 3M are overlays, not the whole file. Allina, M Health Fairview, and HealthPartners keep the local healthcare story. Saint Paul and Bloomington fold here. Rochester is a destination-medical file 80 miles south; we will not fold Mayo into this page to chase a healthcare URL.

Winter is an operating calendar. A January freeze knocks a week off some HVAC and outdoor manufacturing schedules. Super Bowl-scale events, when they happen, are spikes. They stay isolated. Medical panels live in Edina and Woodbury. Warehouse and staffing sit on the MSP / I-494 box. Accounting and IT follow Target, 3M, and UnitedHealth. Restaurants have to survive a January Tuesday in the North Loop.

We use the same buyer discipline we use in Milwaukee or Chicago. Omaha is a different Missouri River insurance-and-logistics book. Minnesota licenses, two-city occupational maps, and January hours sit with counsel. Read the freeze calendar and the campus PO before anyone dates a letter.

Two city halls share a labor market and almost nothing else

Minneapolis and Saint Paul are one labor market with two city desks. Downtown Minneapolis is corporate, IT services, and a denser hospitality overlay along the North Loop and Nicollet. Downtown Saint Paul is capitol-adjacent, a different occupancy story, and a flatter weekday. Those two downtowns do not share a rent. They share buyers.

Bloomington folds here as the south-metro overlay — Mall of America, the airport-adjacent hotel and warehouse box, and I-494 density. MOA weeks and a Super Bowl-scale event are spikes. The MSP cargo and sort overlay is weekday logistics, not a tourist airport story. Skyway occupancy in January is an operating fact, not a postcard.

Target, 3M, UnitedHealth, and the Fortune overlay keep a staffing, accounting, and vendor-services demand that is real. A book that lives on one campus PO or one retailer program is concentration. 3M’s Maplewood campus is a Ramsey County industrial-and-professional node, not a North Loop brunch. U.S. Bank Stadium Saturdays help some rooms. They are not the year.

Healthcare here is Twin Cities systems — Allina, M Health Fairview, HealthPartners, Children’s — not Mayo. Provider bench and whether Allina or Fairview patients still book the same Edina suite after the owner is gone are the asset. The Twin Cities are not Rochester. There is no destination-Mayo campus as the defining story. They are not Chicago. There is no three-state line at that scale. Winter is underwriting. Minnehaha Falls and the Chain of Lakes photograph well. They do not rebuild a January P&L. Light-rail along the Blue and Green lines moves campus and airport labor; it is not a labor plan for a Woodbury HVAC route. St. Anthony Main and Uptown pack hospitality that a Bloomington dock does not share. UnitedHealth’s Minnetonka campus is another Fortune node inbound Chicago buyers skip when they only walk Nicollet. A January freeze can close a patio and a roofing day in the same week. Price both.

Operators who already staff a January freeze

Operators already in Hennepin, Ramsey, or Dakota County add a second door or a second clinic. They already know I-494 time and which city desk they actually work.

Inbound Milwaukee or Chicago owners looking for a northern desk still underwrite a Minnesota license, a two-city occupational map, and a January freeze the same way a local does. A “it’s the Midwest, so Chicago” slide does not stand in for a quiet January week when the North Loop is empty.

Healthcare and corporate-vendor strategics look at diversified books when the customer file is not one campus PO. Logistics buyers look at MSP-adjacent docks when the shipper file is diversified.

SBA shows up on documented Main Street books when a manager wage is already in the numbers. One-campus vendor books sit on a slower calendar.

Hennepin versus Ramsey paper, campus POs, and MSP docks

Minneapolis and Saint Paul are different occupational maps. A Bloomington license is not a North Loop receipt. Edina and Woodbury add suburban desks. Minnesota trade tickets and professional seals each keep a Hennepin County clock. Qualifying agents do not transfer because the buyer already works Chicago.

Campus PO concentration is week-one diligence. A book that lives on one Target or 3M program is concentration. MOA weeks and a Super Bowl-scale event stay isolated. January freeze hours belong in the year. HVAC and some outdoor work lose days. A buyer who only walked the North Loop in July has not priced that.

Diligence here fails on a Chicago buyer who priced Minneapolis as a smaller Loop — or a Rochester buyer who priced it as Mayo-adjacent — more often than on the lakes photo. Prepare with the sale-prep roadmap. Split corporate vendor vs MSP logistics vs township medical vs North Loop rooms before you pick a number.

Earnings after a freeze week, not after a lakes weekend

Owner-operated Twin Cities shops still price on seller’s discretionary earnings. That is the language for a North Loop dining room, a Woodbury HVAC route, a one-campus staffing book, and most accounting suites. You add back owner pay. You do not treat a MOA week as the year.

EBITDA opens when a multi-door logistics company or a multi-site medical group already runs without the founder. A diversified warehouse book with a dispatcher already on the floor can support that conversation. A one-retailer box cannot. See the valuation guide.

An Edina medical panel is provider bench and whether patients call the practice. A Bloomington truck that already opens in a January freeze is occupied rooftops plus a lead-tech wage. A North Loop restaurant that only looks good in July is a seasonal room if January is empty.

Earn-outs show up when one campus PO, one shipper, or one January-loss week is a double-digit share. Seller financing is common when the two-city license file is the long pole. We do not borrow a Rochester Mayo multiple or a Chicago Loop multiple for a Twin Cities truck.

If the founder still opens every North Loop Saturday, you are selling a job until a manager is on the schedule. Saint Paul and Bloomington share this buyer pool. They do not underwrite the same Nicollet rent.

What we pull before anyone tours Nicollet

Name the product: a corporate-vendor book, an MSP dock, a suburban clinic, or a downtown room. Put a second person on the schedule. Map which city desks and which campus POs you actually work. Write both downtowns on page one so no one treats this as a single Loop.

Then pull every occupational license, the top-ten customer share, and monthly sales that include a January freeze and a week that is not a MOA Saturday. If one campus or one shipper is a double-digit share, isolate it.

On the market, we take docks to logistics operators and neighborhood files to trade owners already in Woodbury or Bloomington. Seller financing shows up when concentration is real. Most owner-operated Twin Cities shops still price on SDE. Multi-door logistics and multi-site medical groups can open EBITDA. Transition is local: the two-city desk, the qualifying agent, and the January staffing plan have to survive the handoff.

A buyer who only walked the North Loop in July will misprice a Saint Paul clinic and a Bloomington dock in the same afternoon. Rochester’s destination campus is not this page. Chicago’s Loop is not this page. A quiet January Tuesday is the file. A Super Bowl-scale week is a spike. A buyer who only sat on I-494 still needs the city desk named. 3M Maplewood is a campus. It is not a brunch.
