A book that lives on one steamship line, one 3PL, or one retailer DC is a concentration file. Chassis, dwell time, Clean Truck rules, and a quiet import week belong in the year. This is not San Diego’s naval station. Container volume here is a different product.
Entertainment is a weekday payroll, not a tourism slogan. Burbank (Warner, the lot corridor), Glendale (animation and corporate media), and the Valley / Hollywood production grid support vendors, staffing, and a layer of manufacturing that only works when stages are lit. IATSE, Teamsters, and residual calendars do not annualize. A work-stoppage year is a spike. Isolate it. Santa Monica is beach, visitors, and a Westside professional overlay. Pasadena is Old Town, Rose Bowl weekends, and a resident professional file — not a port multiple and not a lot multiple.
LA County vs Orange County is the first sprawl split. The 405, the 5, the 10, and the 60 do not make one labor market. Port and 3PL strategics look at San Pedro Bay books when the customer file is diversified and the Clean Truck and concession language assigns.
Inbound buyers — including owners already looking at Phoenix or San Francisco — show up for the port and the studio payroll. They still underwrite CSLB, city business licenses, and a wildfire binder the same way a local does. A “Los Angeles is the fifth-largest economy” slide does not replace two years of weekly sales.
SBA is common on documented Main Street files when a manager or lead-tech wage is in the model. Port concessions and entertainment-union rooms often need more equity and a longer diligence clock.

Local friction — licenses, unions, fire, two county desks
City business licenses do not travel. A Long Beach receipt is not a Los Angeles City receipt. Santa Monica, Pasadena, Glendale, and Burbank each keep their own desk. LA County unincorporated product is another map. Orange County is not this desk.
California CSLB contractor licenses and professional licenses sit on their own calendar. Qualifying individuals and Responsible Managing Employees do not automatically transfer. ABC, county health, and South Coast AQMD overlays belong in week one on food, coatings, and some shops.
Union schedules are diligence, not atmosphere. ILWU and port-adjacent labor, Teamsters on the drayage file, IATSE and craft locals on studio vendors — a handshake with a coordinator is not an asset. Put counsel on assignment and residual exposure before the LOI.
Wildfire, brush, and urban-interface insurance can set the close on hillside and canyon files. A non-renewal in the last twenty-four months is a first-week question. Do not bury it in a footnote.
Sprawl is diligence. Map the stops. A “we cover greater L.A.” truck that is really one San Gabriel Valley crew is a coverage story, not a company. The 405 does not make Santa Monica and Long Beach the same route.

Earn-outs show up when one shipper, one studio, or one fire-rebuild year is a double-digit share. Seller financing is common when the lease, the union file, or the insurance binder is the long pole. If the founder still dispatches every stop from a pickup and still walks every lot, you are selling a job until a lead is on the schedule. Put that wage in the model now. Preparing a Los Angeles file
A year out, decide whether you are selling a port box, a studio-adjacent book, a Westside room, or a suburban route. Put a second person on the schedule. Map which cities and which county you actually work. Get landlord and concession assignment in motion on anything in San Pedro Bay or on a studio lot.
Six months out, pull every city business license, the CSLB qualifying individual, the top-ten customer share, wildfire and liability binders, and monthly sales that include a quiet import stretch and a quiet production stretch. If one retailer DC or one streamer is a double-digit share, isolate it.
