The lease and the inventory are the deal

A general retail sale is a transferable lease, a count of goods that will still be current when the buyer opens, and a floor that can run without you on the register. Buyers underwrite remaining term, assignment, CAM, and whether rent still works if traffic slips. They also ask what is owned stock versus consignment or vendor-owned, because those do not all convey the same way.

Online marketplace sales, wholesale side doors, and a second location get split out. A pretty storefront does not rescue a book that is really one holiday season and owner hours greeting every regular.

How a general retail book gets read

Most independent shops are priced on seller’s discretionary earnings after a real owner wage, personal draws, and one-time fixture work—not on a headline store multiple. Buyers discount stale inventory, expired lease options, and a concept that only works when you are the brand on the floor every Saturday.

POS exports by category and month beat a single annual number. They want shrink, returns, and whether a manager can open, close, and reorder without a text to you. Gift-card balances and open special orders are liabilities, not extras you bury in “other income.”

What stalls a retail closing

Expect a physical inventory method in the letter of intent, merchant statements, sales-tax filings, and the landlord’s assignment posture in writing. A short consulting period after close is normal. A deal that only works if you stay on the floor is a signal the cash flow is not transferable yet.
