How Washington, D.C. businesses actually trade — federal contractors, Beltway VA and Maryland licenses, no state in the District, Arlington as overlay.

Washington is a federal-contractor and three-jurisdiction market, not a state capital in the usual sense and not a second Baltimore harbor file. The District has no state sitting above it — DCRA and District professional boards are the desk inside the city limits — while Northern Virginia and suburban Maryland add two more license stacks on the same Beltway. Clearances, GSA schedules, and a continuing-resolution calendar are weekday facts. What trades here is a file a successor can staff after a real manager wage — plus a contract novation path that still works if one agency’s budget slips 10 percent. Price an Arlington consulting book as if it were a Georgetown dining room and you will use the wrong multiple.

Market position — the District, the Beltway, two states

Inside the District there is no state contractor board and no state department of revenue sitting on top of the file. DCRA, DC professional licenses, and District tax are the map. Capitol Hill, downtown K Street, and the federal-adjacent staffing and IT books are a real product. A book that lives on one House committee, one cabinet agency, or one continuing-resolution spike is a concentration file. Shutdown weeks do not get annualized.

Arlington and Alexandria are Pentagon and Crystal City / National Landing density plus Old Town hospitality. Those cities fold here as overlay. They sit on Virginia contractor and professional licenses, ABC, and county or city business licenses. A Pentagon-adjacent cleared shop is not a District restaurant. We will not write Arlington or Alexandria as their own pages.

Bethesda and Silver Spring are Maryland — NIH adjacency, Walter Reed’s orbit, and a different professional map. Montgomery County occupancy and Maryland professional boards are week-one files. Those old URLs fold here. They share this buyer pool. They do not share a District DCRA receipt.

Tysons, Reston, and the I-66 / Dulles corridor are the large Northern Virginia professional and construction belt. Prince George’s is a different rent and a different customer file. National Harbor is hospitality with a convention overlay. It is not a GSA schedule.

The Beltway is drive time, not a brand. WMATA helps some District and Arlington rooms. It is not a labor plan for Fairfax or outer Montgomery.

Washington is not Baltimore. The container and roll-on story is on the Patapsco. Inland D.C. is contractors, hospitals, and three desks.

What actually trades in metro Washington

Professional and cleared services — consulting, IT, staffing — when the contract file is diversified and a second person already holds the relationships. Novation and facility-clearance path belong in the first data room, not after the tour.

Healthcare and professional firms — medical, dental, accounting, insurance — when the book calls the firm after the founder leaves. Inova, MedStar, and Suburban Hospital adjacency are credentialing files. See the medical practice guide and the accounting guide.

Restaurants and hospitality in Penn Quarter, Navy Yard, and Old Town need a full year that includes a quiet August recess and a snow week. See the restaurant guide. Cherry Blossom and a March-for-something Saturday are spikes.

Trades — HVAC, construction, landscaping — on Montgomery and Fairfax rooftops when a second lead already opens.

Do not apply a Richmond state-capitol multiple to a K Street book. Do not apply a Baltimore docks multiple to a Bethesda clinic.

Who buys Washington files

Operators already on one side of the river adding the other jurisdiction. They already know the 14th Street Bridge and which license they still lack.

Cleared and federal-adjacent strategics who already sit inside the Beltway. They still underwrite DC / VA / MD desks the same way a local does. A “the government always spends” slide does not replace two years of weekly sales and a contract ladder.

Inbound professional buyers who want the airport (DCA and IAD) and the payroll depth. Lenders still want a year that includes a continuing-resolution quarter.

SBA is common on documented Main Street files when a manager wage is in the model. Cleared contractor books often sit on bank and equity structures that are not Main Street SBA.

Local friction — three desks, no state in the District, seasonality

District, Virginia, and Maryland are three occupational maps. A DCRA endorsement is not a Fairfax or Montgomery receipt. Virginia DPOR and Maryland DLLR sit on their own calendars. Qualifying agents do not automatically transfer across the river.

There is no state overlay in DC proper. That is a feature and a diligence item. Counsel has to name District tax, District professional boards, and whether the work also touches Virginia or Maryland — most Beltway books do.

Federal calendars are seasonality. Continuing resolutions, fiscal year-end (September), and August recess change some rooms and some contractor billings. Isolate them. Inauguration and a convention week downtown are spikes.

Leases and security. Many buildings require escort, HSPD-12, or landlord approval that is slower than a suburban strip. Assignment language on K Street and in Crystal City can recast rent.

How these files actually price

A diversified consulting or IT book with a second capture lead and a novation path can open EBITDA. A one-agency box is a concentration file. A Bethesda or Arlington medical suite is provider bench and whether patients call the clinic. A Georgetown or Old Town restaurant that only looks good during Cherry Blossom is a seasonal room. A Fairfax HVAC route that already opens without the founder is rooftop density and a lead-tech wage.

Earn-outs show up when one contract, one agency, or one jurisdiction is a double-digit share. Seller financing is common when clearances or the lease are the long pole. We will not apply a Baltimore harbor multiple or a Richmond General Assembly multiple to a Silver Spring clinic.

If the founder still holds every COR relationship and every license, you are selling a job until a second person is on the schedule. Put that wage in the model now. Arlington, Alexandria, Bethesda, and Silver Spring fold here. They share this buyer pool. They do not share a District rent.

Preparing a Washington file

A year out, decide whether you are selling a cleared professional book, a District hospitality room, or a suburban route. Introduce the second person customers and contracting officers will call. Map which of the three jurisdictions you actually invoice.

Six months out, pull DCRA, Virginia, and Maryland licenses for the work you actually do, the top-ten contract share, monthly sales that include a CR quarter and an August recess, and any facility-clearance or novation facts. If one agency is a double-digit share, isolate it.

On the market, we take cleared books to operators who already sit inside the Beltway and neighborhood files to owners already on that side of the river. Seller financing shows up when concentration is real. Diligence here fails on jurisdiction and novation more often than on the monument photo.

In 2026 most owner-operated Washington shops still price on SDE. Multi-contract professional groups can open EBITDA. Transition is local: the three desks, the clearance path, and the lease have to survive the handoff.

A buyer who only walked the Mall on a Saturday will misprice a Springfield warehouse and a Bethesda practice in the same afternoon. Annapolis is not this page. Quantico is a different military-adjacent file; we will not fold it here to chase a URL. Foggy Bottom and GW adjacency are a campus overlay, not a GSA run rate. Navy Yard’s ballpark nights are a spike. A quiet Tuesday on Wisconsin Avenue in Bethesda is the Maryland test. Tysons office is not Anacostia retail. National Harbor’s Gaylord calendar is hospitality, not a cleared staffing book. Dulles cargo and the Herndon / Sterling tech edge leak toward Loudoun data-center construction — name the county. Reagan National is passenger and a different concession file than Dulles. Prince George’s medical and trade routes are this metro. They are not Montgomery wealth. The 14th Street Bridge does not transfer a Virginia qualifying agent. A snow week that closes federal offices belongs in the P&L the same way a shutdown week does.
